These Terms and Conditions of Use (“Terms”) govern your access to and use of the ATC Healthcare mobile application (the “App”) and the ATC candidate web portal (the “Portal,” and together with the App, the “Services”), which ATC Healthcare Services, LLC (“ATC,” “we,” “us,” or “our”) makes available to clinicians, allied health professionals, and other individuals whom ATC employs, engages, or is considering for employment or engagement (“you”).
Please read these Terms carefully. By creating an account, downloading or using the App, or accessing the Portal, you agree to these Terms. If you do not agree, do not use the Services.
Our collection and use of personal information through the Services is described in the ATC Healthcare Services, LLC App and Candidate Portal Privacy Policy, which is incorporated into these Terms by reference and available at https://atchealthcare.com/atc-app-and-candidate-portal-privacy-policy/.
RELATIONSHIP TO YOUR EMPLOYMENT OR ENGAGEMENT
These Terms govern your use of the Services only. They are not an employment contract and do not create an employment relationship, do not modify the terms of any employment, placement, assignment, or independent contractor agreement between you and ATC, and do not alter the at-will nature of any employment relationship. Your compensation, hours, assignments, benefits, and the terms of your employment or engagement are governed by your employment or placement documents and by applicable law, not by these Terms. If anything in these Terms conflicts with your employment or placement agreement, that agreement controls.
Nothing in these Terms limits any right you have under federal, state, or local law, including any right to discuss wages, hours, or working conditions, to report suspected unlawful conduct to a government agency, or to participate in an agency investigation.
NO GUARANTEE OF ASSIGNMENT OR EMPLOYMENT
Creating an account, submitting an application, or completing onboarding through the Services does not guarantee that ATC will hire or engage you, or that you will be offered or placed on any assignment. Hiring and placement decisions are made by ATC and, where applicable, by the facilities to which ATC submits you for consideration, in accordance with applicable law.
ELIGIBILITY
The Services are intended for adults. You must be at least 18 years of age and must be a current or prospective ATC employee, contractor, or candidate to use the Services. By using the Services, you represent that you meet these requirements.
YOUR ACCOUNT
You will be issued credentials to access the Services. You are responsible for maintaining the confidentiality of your username, password, and any device authentication you enable, and for all activity that occurs under your account. You agree to:
- Provide accurate, current, and complete information when you register and keep it current;
- Use only your own account, and not share your credentials with, or permit access by, any other person;
- Notify ATC promptly if you learn of any unauthorized use of your account or any other breach of security; and
- Log out of the Services and secure your device when you are finished, particularly when using a shared or facility-owned device.
ATC may suspend or terminate your access to the Services at any time, including on separation from ATC or where ATC believes your account has been compromised or misused.
ACCURACY OF INFORMATION YOU SUBMIT
You use the Services to submit applications and credentialing, licensure, health screening, timekeeping, and onboarding information that ATC and the facilities where you are placed rely on. You agree that all information and documentation you submit through the Services will be true, accurate, complete, and your own, and that you will promptly update it when it changes, including when a license, certification, or screening expires or is suspended, restricted, or revoked.
When you submit an application or any onboarding form through the Services, you certify that the information in it is true, accurate, and complete to the best of your knowledge, and that you are the person who completed it. You understand that providing false, inaccurate, or incomplete information may violate state or federal law.
Submitting false, altered, or another person’s credentialing or licensure documentation, or falsifying time records, may result in removal from assignment, termination of your employment or engagement, denial of payment for time not worked, and referral to licensing boards, clients, or law enforcement, in addition to any other remedy available to ATC.
TIMEKEEPING
Where you record time through the Services, you are responsible for recording your time accurately and completely, including meal and rest breaks, and for reviewing and correcting your recorded time before it is submitted for approval. Recorded time is subject to review and approval by ATC and, where applicable, by the facility. If you are unable to record time through the Services for any reason, or if your recorded time is inaccurate, you must report it to your ATC office promptly so that it can be corrected. ATC will pay you for all hours actually worked regardless of any failure of the Services.
ELECTRONIC RECORDS AND SIGNATURES
The Services are used to present, complete, and sign records electronically, including applications, the federal Form I-9, federal and state tax withholding forms, onboarding and credentialing documents, and, where enabled, timekeeping approvals.
Your consent:
By using the Services, you consent to receive those records electronically and to sign them using an electronic signature. You agree that your electronic signature has the same force and effect as a handwritten signature, and that records provided or signed electronically satisfy any requirement that they be in writing.
Hardware and software you will need:
To access and retain electronic records, you will need a device with internet access, a current web browser or a supported version of the App, an active email account, and the ability to view and save documents in PDF format.
Paper copies and withdrawing consent:
You may request a paper copy of any record provided to you electronically, and you may withdraw your consent to electronic records and signatures, by contacting ATC using the information below. ATC will not charge you for a paper copy or penalize you for withdrawing consent, but some features of the Services may not be available to you, and you may need to complete onboarding and timekeeping by other means. Withdrawal of consent is effective going forward only and does not affect the validity of records you signed electronically before withdrawal.
Keeping your contact information current:
You are responsible for keeping your email address and mobile number current in the Services so that we can deliver electronic records to you.
ACCEPTABLE USE
You agree not to:
- Enter any patient information into the Services, or upload any protected health information relating to a patient;
- Access, or attempt to access, any account, record, or data other than your own;
- Upload any material that is unlawful, defamatory, harassing, or infringing, or that contains malicious code;
- Interfere with, disrupt, probe, or attempt to circumvent any security or authentication feature of the Services;
- Copy, scrape, reverse engineer, decompile, or create derivative works from the Services, except to the extent applicable law prohibits that restriction;
- Use any automated means to access the Services, or use the Services for any purpose other than your employment, engagement, or candidacy with ATC; or
- Photograph, record, or capture the screen of the Services in any manner that would disclose another person’s information.
ATC may investigate suspected violations and may suspend or terminate access, in addition to pursuing any other remedy available to it.
DEVICE PERMISSIONS, TEXT MESSAGES, AND PUSH NOTIFICATIONS
The App may request permission to use your device’s notifications, camera, and file and media library, and, where ATC enables location-based timekeeping, your device location. You may grant or withdraw each permission through your device settings, although some features will not function without the relevant permission. What each permission is used for is described in the Privacy Policy.
If you consent to receive text messages, message and data rates may apply and message frequency will vary. You may opt out at any time by replying STOP, and may reply HELP for assistance. Consent to receive text messages is not a condition of employment or engagement. The text message terms in the Privacy Policy apply to those messages.
THIRD-PARTY PLATFORM AND APPLICATION STORES
The Services are provided using a workforce management platform that ATC licenses from a third-party software vendor, and the App is distributed through the Apple App Store and Google Play. Your use of those application stores is also governed by the terms of the applicable store, and your wireless carrier’s terms apply to data usage. ATC does not control, and is not responsible for, the terms, practices, or availability of any application store, carrier, or third-party service. The Services may contain links to third-party websites or services, such as electronic signature, background check, or assessment providers that ATC uses; those third parties’ own terms and privacy policies govern your use of their services.
AVAILABILITY OF THE SERVICES
ATC does not guarantee that the Services will be available at all times or without interruption. The Services may be unavailable because of maintenance, updates, connectivity problems, or events outside ATC’s control. If the Services are unavailable, you remain responsible for meeting your assignment, credentialing, and timekeeping obligations, and you should contact your ATC office for an alternative method.
INTELLECTUAL PROPERTY
The Services, and all software, text, graphics, logos, and other content made available through them, are owned by ATC or its licensors and are protected by intellectual property laws. Subject to these Terms, ATC grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for purposes of your employment, engagement, or candidacy with ATC. All rights not expressly granted are reserved. You may not use ATC’s names, logos, or marks without ATC’s prior written permission.
Documents and information you submit through the Services remain subject to your rights in them and to applicable law. You grant ATC the right to use, store, reproduce, and disclose what you submit only for the purposes described in the Privacy Policy, including verifying your credentials, documenting your compliance to clients and regulators, placing you on assignment, and administering pay. ATC will not publish, publicly display, or make what you submit available to other users of the Services.
DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ATC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECT WILL BE CORRECTED.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ATC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ATC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms limits ATC’s obligation to pay you for all hours actually worked, or any other right you have under wage and hour, employment, anti-discrimination, privacy, or other applicable law, and nothing in these Terms limits liability that cannot be limited under applicable law.
CHANGES TO THE SERVICES AND TO THESE TERMS
ATC may modify or discontinue the Services, or any feature of them, at any time. ATC may also update these Terms. When we do, we will revise the “Last Updated” date above and, if the change is material, provide notice through the Services or by email or text message before the change takes effect. Your continued use of the Services after the effective date of a change constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using the Services and contact your ATC office for an alternative method of meeting your obligations.
TERMINATION
ATC may suspend or terminate your access to the Services at any time, with or without notice, including on the end of your employment or engagement. You may stop using the Services at any time and may delete the App from your device. Sections of these Terms that by their nature should survive termination, including Accuracy of Information You Submit, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law, will survive.
Termination of access does not affect ATC’s retention of records as described in the Privacy Policy, or ATC’s obligation to retain records under applicable law.
GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any action or proceeding arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in Nassau County, New York, and you consent to the personal jurisdiction of those courts. This section does not apply to any claim arising out of your employment or engagement with ATC, which is governed by your employment or placement agreement and by applicable law, including any dispute resolution provision in that agreement.
GENERAL
These Terms, together with the Privacy Policy, are the entire agreement between you and ATC regarding your use of the Services, and supersede any prior understanding on that subject. They do not supersede your employment or placement agreement. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. ATC’s failure to enforce any provision is not a waiver of it. You may not assign these Terms; ATC may assign them in connection with a merger, acquisition, or sale of assets. The Services are offered for use only in the United States.
